ARTICLE I – NAME

The name of this corporation is COUNCIL GROVE CITY LAKE ASSOCIATION.

ARTICLE II - REGISTERED OFFICE AND RESIDENT AGENT

The registered office of the corporation in the State of Kansas is at 323 Poyntz, Suite #204, Manhattan, Riley County, Kansas, 66502. The resident agent at that address is William L. Frost.

ARTICLE III - NATURE OF BUSINESS

The nature of the business, or purposes to be conducted or promoted, are;
1. To be an advisory body to determine the needs of the residents of the Council Grove City Lake Park and to pursue, and coordinate, those needs with the Council Grove City Council; and,
2. To support and advise the residents of the Council Grove City Lake Park on pertinent matters that affect such residents; and,
3. To determine priority concerns of the residents of the Council Grove City Lake Park and to convey and pursue those concerns with the Council Grove City Council; and,
4. To act as the Homeowners Association to enforce restrictive covenants imposed upon the Council Grove City Lake Park by the Council Grove City Council, to manage the establishment of leases between residents and the City of Council Grove, and to do any, and all, other matters that may be agreed upon between the Corporation and the City of Council Grove; and,
5. To engage in any lawful act or activity for which corporations may be organized under the Kansas General Corporation Code.

ARTICLE IV – STOCK

The corporation will NOT have authority to issue capital stock, and the conditions of membership shall be fixed by the bylaws.

ARTICLE V – INCORPORATORS

ARTICLE VI - DIRECTORS

The powers of the incorporators are to terminate upon the filing of these Articles of Incorporation, and the names and mailing addresses of the persons who are to serve as Directors until the first annual meeting of the members, or until their successors are elected and qualified, are:

ARTICLE VII – EXISTENCE

This corporation shall have perpetual existence.

ARTICLE VIII - PROPERTY OF MEMBERS

The private property or assets of the members of this corporation shall not to any extent whatsoever be subject to payment of the debts of the corporation.

ARTICLE IX - BYLAWS

The Board of Directors shall have the power to adopt, amend or repeal the By-laws of this corporation.
